The 142nd AGM for the Royal Port Nicholson Yacht Club will be held in the Wardroom, 7:00 pm, 17th June 2025.
The Notice was emailed to all eligible Members earlier this month.
An Agenda item is the proposed amendments to our Club Rules.
Why are we amending our rules?
The new Incorporated Societies Act, passed on April 6, 2022, has made significant changes to the legal framework governing Incorporated societies. These changes aim to enhance societies’ governance functions.
Key Changes:
- The minimum number of members required for an incorporated society/club is reduced from 15 to 10.
- Each new club member’s consent must be collected at the time of joining.
- Each club must appoint at least one contact person to be contactable by the Registrar.
- There must be at least 3 Officers on the club Committee/Board
- Officers have new duties, which include:
- acting in good faith and in the best interests of the club
- complying with the 2022 Act and the constitution
- exercising the care and diligence that a reasonable person would exercise in the circumstances
- Officers on the club’s Committee/Board must be members of the club and all Officers must not be disqualified from being an Officer.
- Dispute resolution processes must be included in the club’s constitution and consistent with the rules of natural justice.
- New rules define when an Officer has a conflict of interest and a duty to disclose conflicts.
- Winding up – surplus assets must be given to an identified not-for-profit organisation or class of organisation identified in your constitution.
All incorporated societies must re-register with the Registrar by April 2026 with a compliant constitution. Societies must review their constitution and make any necessary modifications.
We have determined that few changes are required.
However, we wish to take the opportunity to clarify and simplify other rules, such as the joining process, in some cases to reflect current practice.
